On June 7, 2017, Ardelyx, Inc. (the Company) held its Annual Meeting of Stockholders (the Annual Meeting) at the Companys principal executive offices located at 34175 Ardenwood Blvd., Suite 200 (2nd Floor), Fremont, California 94555. Only stockholders of record at the close of business on April 12, 2017, the record date for the Annual Meeting, were entitled to vote at the Annual Meeting. As of the record date, 47,386,756 shares of the Companys common stock were outstanding and entitled to vote at the Annual Meeting. At the Annual Meeting, 37,974,033 shares of the Companys common stock were voted in person or by proxy for the two proposals set forth below, each of which is described in the Companys Definitive Proxy Statement on Schedule 14A filed with the U.S. Securities and Exchange Commission on April 25, 2017.
Proposal No. 1 Election of Directors
The Companys stockholders elected the Class III director nominees below to the Companys Board of Directors (the Board) to hold office until the 2020 Annual Meeting of Stockholders or until their successors are elected.
